These Terms of Service (“Terms”) are a legally binding agreement between you (“you,” “your,” or “User”) and Sorbet Holdings Limited (“Sorbet,” “we,” “us,” or “our”). These Terms govern your access to and use of our websites, products, applications, dashboards, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Service Overview

Sorbet provides a technology platform and orchestration layer that helps users access certain financial and payment-related workflows. Sorbet is not a bank and does not custody customer fiat funds or digital assets.

Certain features (including identity verification, compliance screening, virtual account issuance, payment processing, and related regulated services) are provided through third-party regulated partners and vendors (“Third-Party Providers”) and may be subject to their own terms, policies, and eligibility requirements. Sorbet may facilitate the transmission of information and instructions required to provide these features, but Third-Party Providers may make final decisions regarding eligibility, availability, and execution.

2) Eligibility and Account Registration

You may use the Services only if:

  • you are at least 18 years old (or the age of majority in your jurisdiction); and

  • you have the legal authority to enter into these Terms.

If you are using the Services on behalf of a company or other entity, you represent that you are authorized to bind that entity, and “you” refers to the entity.

You agree to provide accurate, complete, and up-to-date information and to promptly update it if it changes.

3) Identity Verification, Compliance, and Monitoring

To use certain Services, you may be required to complete identity verification and compliance checks (including KYC/KYB, sanctions screening, and fraud prevention checks). You agree to:

  • provide requested information and documentation;

  • keep your information accurate and up to date; and

  • cooperate with reasonable compliance requests.

We and/or Third-Party Providers may restrict, suspend, or terminate access to some or all of the Services where required by law, regulation, compliance obligations, risk management, or security reasons.

4) User Responsibilities

You are responsible for:

  • maintaining the confidentiality of your login credentials and account access;

  • all activity that occurs under your account;

  • ensuring all payment instructions, bank details, beneficiary details, and wallet addresses you provide are accurate; and

  • complying with all applicable laws and regulations.

You understand that blockchain transactions may be irreversible and that wallet addresses and on-chain transactions may be publicly visible. Sorbet does not control public blockchains and cannot reverse or modify on-chain transactions.

5) Prohibited Activities

You agree not to use the Services:

  • for any illegal activity or to violate any applicable law or regulation;

  • to engage in fraud, money laundering, terrorist financing, or sanctions evasion;

  • to facilitate transactions involving prohibited goods or services;

  • to interfere with or disrupt the Services, systems, or security features;

  • to attempt unauthorized access to accounts, systems, or data;

  • to scrape, reverse engineer, or misuse the Services or APIs except as expressly permitted;

  • to upload malware or conduct attacks (including phishing, denial-of-service, or other abuse).

We may investigate suspected violations and take action including suspension or termination.

6) Fees, Taxes, and Payments

Certain features may involve fees (including transaction fees or service fees), which may be displayed in the Services or communicated to you before you confirm a transaction.

You are responsible for any taxes or duties applicable to your use of the Services.

We may update fees from time to time. Where required, we will provide notice through the Services or by other reasonable means.

7) Third-Party Providers and External Services

Some Services depend on Third-Party Providers and external networks (including banking and payment rails and public blockchains). Sorbet is not responsible for:

  • Third-Party Providers’ acts or omissions;

  • delays, errors, or failures caused by external systems or networks; or

  • eligibility decisions or service availability determined by Third-Party Providers.

Your use of Third-Party Providers may be subject to their terms and policies.

8) Suspension and Termination

We may suspend, restrict, or terminate your access to the Services (in whole or in part) at any time if we reasonably believe:

  • you violated these Terms;

  • your use creates risk for Sorbet, other users, or Third-Party Providers;

  • required by law, regulation, or compliance obligations; or

  • necessary to protect security, integrity, or availability of the Services.

You may stop using the Services at any time. Certain provisions of these Terms will survive termination, including sections on limitation of liability, indemnification, and dispute resolution.

9) Intellectual Property

The Services and all related content, software, and materials (excluding user content) are owned by Sorbet or its licensors and are protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business or personal use in accordance with these Terms.

10) User Content and Feedback

If you submit content through the Services (such as messages, support requests, or documents), you grant Sorbet a license to use that content to provide and improve the Services and to comply with legal obligations.

If you provide feedback or suggestions, you grant Sorbet the right to use them without restriction or compensation.

11) Disclaimer of Warranties

The Services are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, Sorbet disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the Services will be uninterrupted, secure, or error-free.

12) Limitation of Liability

To the maximum extent permitted by law:

  • Sorbet will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunities; and

  • Sorbet’s total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Sorbet (if any) for the Services in the three (3) months prior to the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law.

13) Indemnification

You agree to indemnify and hold harmless Sorbet and its affiliates, directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to:

  • your use of the Services;

  • your violation of these Terms; or

  • your violation of any law or third-party rights.

14) Privacy

15) Changes to the Services or Terms

We may modify the Services and these Terms from time to time. If changes are material, we will provide notice as required by law (for example, by posting an updated version or notifying you through the Services). Continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.

16) Governing Law and Dispute Resolution

These Terms are governed by the laws of Abu Dhabi Global Market (ADGM), without regard to conflict of laws rules.

Any dispute arising out of or relating to these Terms or the Services will be brought in the courts, unless mandatory laws in your jurisdiction require otherwise.
